Terms of Service

1. Scope
These Terms set out the conditions for using COSMA, a marketplace operated by the COSMA operations office. By using the service, you agree to these Terms and to related rules posted on COSMA, including the Listing Guidelines and Privacy Policy.
2. Definitions
- "User" means an individual who registers for and uses COSMA.
- "Seller" means a user who lists an item.
- "Buyer" means a user who purchases an item.
- "Item" means cosplay costumes, wigs, props, and other cosplay-related goods listed on COSMA.
- "Transaction" means a sale and purchase between a seller and a buyer through COSMA.
3. Nature of the Service
COSMA provides a C2C transaction platform. The operator is not a party to individual sales contracts. Sales contracts are formed directly between sellers and buyers. COSMA provides payment processing and buyer protection flows through Stripe Connect. Funds are held through Stripe until the transaction is completed. This is escrow-like transaction protection and not an escrow account. COSMA does not act as the seller of the items.
4. Registration and Account Management
- Registration through Clerk is required to use parts of the service.
- Users under 18 must obtain consent from a legal guardian before registering.
- Users must provide accurate and up-to-date information and manage their account credentials securely.
- The operator may refuse registration, suspend accounts, or delete accounts where false information, prior violations, antisocial affiliations, or other inappropriate circumstances are found.
5. Seller Responsibilities
- Sellers must provide accurate and sufficient item information, including condition, size, measurements, character name, series name, and photos.
- Sellers are responsible for confirming that their items comply with applicable laws.
- Sellers should ship items promptly after a transaction is formed, in principle within three days.
- If an item differs materially from its description, the seller may bear legal responsibility for non-conformity.
- Repeated sales for profit may require compliance with Japanese secondhand goods and mail-order sales regulations.
6. Buyer Responsibilities
- Buyers must review item descriptions, photos, and measurements before purchasing.
- Buyers must confirm receipt after the item arrives.
- Returns or refunds for buyer convenience, including size mismatch or difference in impression, are generally not accepted in C2C transactions.
- If an item is materially different, damaged in an undisclosed way, or different from the ordered item, the buyer may contact the operator before confirming receipt.
7. Prohibited Conduct
- Violating laws or public order and morals
- Harassment, threats, defamation, or stalking of other users
- Inducing transactions outside COSMA, including via external SNS or messaging services
- Listing counterfeit, stolen, illegal, obscene, or intellectual-property-infringing items
- False or misleading item descriptions
- Unauthorized access, excessive requests, scraping, reverse engineering, or interference with service operations
- Money laundering, account manipulation, impersonation, or other conduct reasonably judged inappropriate by the operator

9. Payments and Payouts
- Buyers pay through payment methods provided by Stripe.
- Funds are held through Stripe until the transaction is completed, then seller payouts are transferred to the registered Stripe account after the buyer confirms receipt.
- This flow is escrow-like transaction protection and not an escrow account.
- If receipt is not confirmed within 14 days after shipment, the transaction may be completed automatically.
- Platform fees and payment fees follow the amounts shown in the service or listing flow.
10. Cancellation, Returns, and Refunds
After purchase, buyer-convenience cancellation is generally not available. Orders may be cancelled under conditions set by COSMA, such as unpaid orders or unshipped orders. If an item is materially different from its description, the operator may review the situation and coordinate necessary actions. For delivered items, buyers must report within 3 days after delivery and before confirming receipt. For non-delivery, buyers must report within 14 days after the shipping notice or expected shipping date. After receipt confirmation, the transaction is treated as completed and refunds may be difficult or unavailable.
11. User Content and Rights
Users must have the rights necessary to post their content. Users grant the operator permission to use posted content as necessary to provide, promote, and improve COSMA. If a rights holder report is received, the operator may hide or delete listings and restrict accounts where necessary.
12. Privacy
Personal information is handled in accordance with the Privacy Policy.
13. Changes and Suspension
The operator may change, suspend, or discontinue all or part of the service without prior notice where necessary for maintenance, failures, disasters, legal requirements, or operational reasons.
14. Disclaimer
To the extent permitted by law, the operator is not responsible for transactions between users, item condition, shipping, or rights relationships. Where the operator is liable, liability is limited to direct and ordinary damages.
15. Changes to These Terms
The operator may change these Terms where necessary. Material changes will be announced through the service or by another appropriate method.
16. Governing Law and Jurisdiction
These Terms are governed by Japanese law. Disputes relating to COSMA are subject to the exclusive jurisdiction of the court with jurisdiction under Japanese law.
